result of the reverse merger referred to in Part IV(3).

On June 30, 2006, the Registrant acquired all of the capital stock of Lixte
Biotechnology, Inc. ("Lixte"). For accounting purposes, Lixte was the acquirer
so that the financial statements of the Registrant will be the financials of
Lixte.
